
Terms & Conditions
PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ACCESSING OR USING VESTRAPAY'S SERVICES. BY REGISTERING FOR AN ACCOUNT, DOWNLOADING OUR APPLICATION, OR USING ANY VESTRAPAY SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE OUR SERVICES.
1. Parties and Acceptance of Terms
These Terms and Conditions of Service ("Terms") constitute a legally binding agreement between VestraPay Nigeria Limited ("VestraPay", "we", "us", or "our"), a company incorporated in Nigeria and licensed by the Central Bank of Nigeria (CBN), and you, the individual or entity accessing or using VestraPay's digital payment platform, mobile application, website, API, or related services (collectively, the "Services").
By completing the registration process, ticking an acceptance box, or otherwise accessing or using the Services, you confirm that:
- You have read, understood, and agree to be bound by these Terms and all policies incorporated by reference, including our Privacy Policy;
- You are at least 18 years of age and have the legal capacity to enter into a binding contract;
- If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms; and
- All information you provide to VestraPay is accurate, current, and complete.
If you do not agree to these Terms, you must not register for, access, or use our Services.
2. Definitions
In these Terms, the following definitions apply unless the context otherwise requires:

| Applicable Law | All federal and state laws and regulations of Nigeria applicable to VestraPay and/or the User, including but not limited to CBN regulations, the BOFIA 2020, MLPPA 2022, NDPA 2023, CAMA 2020, and relevant tax legislation. |
| Business Day | Any day (other than a Saturday, Sunday, or public holiday) on which commercial banks in Nigeria are generally open for business. |
| CBN | The Central Bank of Nigeria. |
| Fees | The charges, commissions, and transaction costs payable by a User for the use of VestraPay Services, as published on our platform and amended from time to time. |
| KYC | Know Your Customer: the identity verification and due diligence process required by applicable law and CBN regulations. |
| Merchant | A business or individual that has contracted with VestraPay to accept payments from customers through the Services. |
| Payment Instruction | An instruction submitted by a User through the VestraPay platform directing VestraPay to initiate or process a payment, transfer, or other financial transaction. |
| Services | All digital payment, funds transfer, wallet, collections, payment processing, and related services provided by VestraPay through its platform, mobile application, API, or any other channel. |
| Transaction | Any payment, transfer, deposit, withdrawal, or other financial operation initiated or processed through the Services. |
| User | Any individual or entity that has registered for and/or uses VestraPay's Services, including but not limited to customers and merchants. |
| Wallet | The electronic payment account maintained by VestraPay on behalf of a User, reflecting funds held for the purpose of executing Transactions. |
3. Eligibility and Account Registration
The following eligibility, registration, and security requirements apply to all Users of VestraPay's Services:
3.1 Eligibility Requirements
To be eligible to register for and use VestraPay's Services, you must:
- Be an individual of at least 18 years of age, or a duly incorporated entity with legal capacity;
- Not be a person or entity subject to sanctions administered by the United Nations Security Council, the Office of Foreign Assets Control (OFAC), the European Union, His Majesty's Treasury (HMT), or the Nigerian government;
- Not be a person or entity that has been convicted of a financial crime or is under active investigation by any regulatory or law enforcement authority for money laundering, fraud, or related offences;
- Not be located in, incorporated in, or operating from a jurisdiction identified as high-risk or non-cooperative by the Financial Action Task Force (FATF), as determined by the CBN from time to time; and
- Possess a valid Bank Verification Number (BVN) issued by NIBSS, where applicable to the account tier being opened.
3.2 Account Registration and KYC
To access the full range of VestraPay's Services, you must complete our registration and KYC process. You agree to:
- Provide accurate, truthful, and complete information during registration and at all times thereafter;
- Submit all identity documents required for the applicable account tier as specified by VestraPay and mandated by the CBN's tiered KYC framework;
- Notify VestraPay promptly of any change in your personal or business information;
- Cooperate with any enhanced due diligence (EDD) process VestraPay may conduct; and
- Not impersonate any person or entity, or misrepresent your identity or affiliation.
VestraPay reserves the right to refuse registration, restrict Services, or suspend Accounts where we are unable to verify your identity or where providing Services would conflict with Applicable Law.
3.3 Account Security
You are solely responsible for maintaining the confidentiality and security of your login credentials, password, PIN, and any authentication factors associated with your Account. You must:
- Not share your credentials, password, or one-time passwords (OTPs) with any third party;
- Immediately notify VestraPay at support@vestrapay.com if you suspect any unauthorised access to or use of your Account;
- Log out of your Account after each session on shared or public devices; and
- Not allow any other person to access the Services through your Account.
VestraPay shall not be liable for any loss or damage arising from your failure to comply with these security obligations. Transactions authenticated with your credentials will be treated as authorised by you, except where you have reported a security breach to VestraPay before the transaction is processed.
4. Description of Services
Subject to these Terms and the satisfaction of all KYC and eligibility requirements, VestraPay provides the following Services:
4.1 Wallet and Account Management
- Maintenance of an electronic payment wallet for the receipt, holding, and disbursement of funds;
- Tiered account functionality consistent with the CBN's KYC tiering requirements;
- Generation of account statements and transaction histories.
4.2 Funds Transfer and Payments
- Intrabank and interbank funds transfers via NIBSS infrastructure (NIP, NEFT);
- Real-time payment processing and settlement;
- Bulk payment disbursements for business customers;
- Bill payments and airtime/data purchases.
4.3 Collections and Merchant Services
- Payment collection infrastructure for merchants, including payment links, APIs, and checkout integrations;
- Settlement of collected funds to merchant accounts in accordance with agreed settlement schedules;
- Dispute and chargeback management support.
4.4 Additional Services
VestraPay may introduce additional services from time to time, which will be subject to these Terms and any supplemental terms communicated to you at the time of launch. VestraPay reserves the right to modify, suspend, or discontinue any Service, with notice where reasonably practicable, subject to Applicable Law.
5. Fees, Charges, and Settlement
5.1 Fees
The use of certain Services is subject to Fees. All applicable Fees are published on our platform and mobile application and may be updated from time to time. We will provide you with reasonable notice of any changes to our Fees. By continuing to use the Services after a fee change takes effect, you accept the revised Fees.
VestraPay may deduct applicable Fees directly from your Wallet or from the proceeds of a Transaction at the time of processing. Fees are non-refundable except where VestraPay has committed an error or where required by Applicable Law.
5.2 Taxes
You are responsible for all applicable taxes, levies, and duties arising from your use of the Services, including Value Added Tax (VAT) at the applicable rate under the VAT Act (as amended). VestraPay may be required by law to withhold or remit certain taxes on transactions processed through the platform and will do so in accordance with Applicable Law.
5.3 Settlement
Settlement of funds to your Account or to a designated bank account will be executed in accordance with the settlement schedule applicable to your account type, as communicated to you on our platform. Settlement timelines are subject to interbank clearing cycles, CBN settlement windows, and any third-party processing delays beyond VestraPay's reasonable control.
5.4 Currency
All transactions processed through the Services are denominated in Nigerian Naira (NGN) unless otherwise expressly agreed in writing for specific products. VestraPay does not facilitate foreign exchange transactions except as expressly authorised by the CBN and stated in supplemental terms.
6. Payment Instructions and Transaction Processing
The following terms govern the submission, authorisation, and processing of Payment Instructions and Transactions:
6.1 Authorisation
By submitting a Payment Instruction, you irrevocably authorise VestraPay to debit your Wallet or Account in the amount specified and to process the Transaction in accordance with your instruction. You confirm that:
- You are the lawful owner of or are duly authorised to operate the Account from which funds are to be debited;
- The Transaction is for a lawful purpose and does not contravene Applicable Law; and
- Sufficient funds are available in your Wallet or Account to cover the Transaction amount and applicable Fees.
6.2 Finality of Transactions
Once a Payment Instruction is submitted and processed, it may not be reversed or cancelled except in the following circumstances:
- VestraPay determines that the transaction was fraudulent or unauthorised;
- The transaction was processed in error due to a technical fault attributable to VestraPay;
- Applicable Law or a regulatory directive requires reversal; or
- The beneficiary bank or payment scheme confirms the failure of the transaction and authorises a return of funds.
Requests for transaction reversal or dispute resolution must be submitted within 30 days of the transaction date. VestraPay will investigate and respond within the timelines prescribed by the CBN Consumer Protection Framework.
6.3 Transaction Limits
VestraPay applies transaction, balance, and velocity limits in line with the CBN's tiered KYC framework and its internal risk policies. The limits applicable to your Account depend on your account tier and the level of identity verification you have completed. VestraPay may review and vary these limits from time to time to comply with regulatory requirements or to manage risk, and will make current limits available to you through the platform.
6.4 Declined Transactions
VestraPay reserves the right to decline, suspend, or withhold processing of any Transaction where:
- There are insufficient funds in your Account;
- The Transaction raises fraud, AML, or sanctions concerns;
- The Transaction would cause VestraPay to breach Applicable Law;
- VestraPay's payment infrastructure or a third-party network is unavailable; or
- VestraPay reasonably suspects that the Transaction is being used for an unlawful purpose.
7. Prohibited Conduct
You must not use VestraPay's Services, directly or indirectly, for any of the following purposes:
7.1 Illegal and Fraudulent Activities
- Money laundering, terrorist financing, proliferation financing, or any activity prohibited under the MLPPA 2022, CBN AML/CFT/CPF Regulations 2022, or FATF Recommendations;
- Fraud, identity theft, or the use of forged, stolen, or falsified identity documents;
- Funding, facilitating, or promoting illegal arms trading, trafficking in persons, or narcotics;
- Any activity that constitutes a criminal offence under Nigerian law.
7.2 Regulatory Violations
- Processing payments in contravention of CBN foreign exchange regulations;
- Transacting with persons or entities on any applicable sanctions list;
- Circumventing account limits, KYC requirements, or transaction monitoring controls.
7.3 Platform Misuse
- Accessing or attempting to access systems, data, or features not authorised for your Account;
- Reverse engineering, decompiling, or disassembling any part of VestraPay's platform or software;
- Introducing malware, viruses, or any harmful code into our systems;
- Using automated tools, bots, or scripts to access the Services without VestraPay's express written consent;
- Interfering with or disrupting the integrity, performance, or security of our infrastructure.
7.4 Reputational and Commercial Harm
- Using the Services to engage in multi-level marketing, Ponzi schemes, or pyramid schemes;
- Processing transactions that constitute gambling, unless VestraPay has expressly approved such use in a separate written agreement;
- Using the Services in a manner that violates the rights of any third party, including intellectual property rights.
VestraPay reserves the right to immediately suspend or terminate your Account, block pending transactions, and report suspicious activity to the NFIU or other relevant authorities where prohibited conduct is suspected or confirmed. You shall indemnify VestraPay for all losses, liabilities, fines, and costs arising from your violation of this clause.
8. AML/CFT/CPF Compliance Obligations
VestraPay is a regulated financial institution subject to comprehensive anti-money laundering, counter-terrorism financing, and counter-proliferation financing (AML/CFT/CPF) obligations under Nigerian law. By using our Services, you acknowledge and agree to the following:
- VestraPay is required to screen all Users and transactions against applicable sanctions lists and PEP databases;
- VestraPay may file Suspicious Transaction Reports (STRs) or Currency Transaction Reports (CTRs) with the NFIU without prior notice to you, as required by law;
- VestraPay may place a hold on, freeze, or block funds in your Account where required by law, regulatory directive, or court order;
- You consent to VestraPay conducting ongoing transaction monitoring and periodic customer review as required by the CBN Customer Due Diligence Regulations;
- You agree to promptly provide any additional information, documentation, or declarations requested by VestraPay in connection with AML/CFT compliance, and failure to do so may result in Account suspension; and
- VestraPay shall not be liable for any loss suffered by you as a result of actions taken in good faith to comply with AML/CFT/CPF obligations.
9. Intellectual Property
The following terms govern intellectual property rights in connection with the Services:
9.1 VestraPay's Intellectual Property
All intellectual property rights in the VestraPay platform, mobile application, website, brand name, logo, trademarks, software, content, and technology are owned by or licensed to VestraPay. Nothing in these Terms grants you any right, title, or licence to any of VestraPay's intellectual property except the limited right to use the Services as expressly set out in these Terms.
9.2 Limited Licence
VestraPay grants you a personal, non-exclusive, non-transferable, revocable, limited licence to access and use the Services solely for your personal or internal business purposes, strictly in accordance with these Terms. This licence does not permit you to sublicense, sell, resell, transfer, assign, or otherwise commercialise the Services or any component thereof.
9.3 User Content
By submitting data, content, or information to VestraPay through the Services, you grant VestraPay a non-exclusive, royalty-free licence to use, store, process, and display such content to the extent necessary to provide the Services. You represent and warrant that you have all necessary rights to the content you submit and that it does not infringe any third-party rights.
10. Data Protection and Privacy
VestraPay processes your personal data in accordance with the Nigeria Data Protection Act 2023 (NDPA), the Nigeria Data Protection Regulation 2019 (NDPR), and our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to such processing to the extent required for the delivery of Services and compliance with Applicable Law.
Our Privacy Policy, available on our website and mobile application, sets out the categories of personal data we collect, the purposes for which we process it, your rights as a data subject, and how to exercise those rights. You are encouraged to review our Privacy Policy carefully.
11. Representations and Warranties
By using the Services, you represent and warrant to VestraPay that:
- All information and documentation provided by you is accurate, truthful, and not misleading;
- You are using the Services for lawful purposes only and in compliance with all Applicable Laws;
- You are not subject to any sanctions, debarment, or legal proceedings that would prevent your use of the Services;
- Where you are a business, you are duly registered, licensed, and in good standing under the laws of Nigeria;
- You have the authority and capacity to enter into these Terms and to perform your obligations hereunder; and
- Your use of the Services will not infringe the rights of any third party.
12. Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VESTRAPAY EXPRESSLY DISCLAIMS:
- ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
- ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS;
- ANY WARRANTY REGARDING THE ACCURACY OR COMPLETENESS OF TRANSACTION RECORDS OR ACCOUNT INFORMATION;
- ANY LIABILITY FOR THE ACTS OR OMISSIONS OF THIRD-PARTY PAYMENT NETWORKS, CORRESPONDENT BANKS, OR INFRASTRUCTURE PROVIDERS BEYOND VESTRAPAY'S CONTROL.
Nothing in these Terms excludes or limits any warranty or liability that cannot be excluded or limited under Applicable Law, including the CBN Consumer Protection Framework.
13. Limitation of Liability
To the maximum extent permitted by Applicable Law, VestraPay shall not be liable to you for:
- Any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities, even if VestraPay has been advised of the possibility of such damages;
- Any loss arising from unauthorised access to your Account resulting from your failure to comply with your security obligations under these Terms;
- Any loss resulting from system downtime, force majeure events, or actions of third-party payment networks;
- Any loss resulting from your reliance on incorrect transaction information provided by you; or
- Any sanctions, regulatory penalties, or financial losses arising from your own non-compliance with Applicable Law.
Where VestraPay's liability cannot be excluded under Applicable Law, our total aggregate liability to you in connection with any claim arising out of or related to these Terms or the Services shall not exceed the total Fees paid by you to VestraPay in the three (3) months preceding the event giving rise to the claim.
Nothing in these Terms limits VestraPay's liability for fraud, wilful misconduct, or gross negligence attributable to VestraPay, or any liability that cannot be limited under Applicable Law.
14. Indemnification
You agree to indemnify, defend, and hold harmless VestraPay, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, losses, damages, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your breach of any provision of these Terms or any Applicable Law;
- Your use or misuse of the Services, including any fraudulent or unauthorised transaction initiated from your Account;
- Your infringement of any third-party rights, including intellectual property rights;
- Any misrepresentation or inaccuracy in the information or documentation you have provided to VestraPay; or
- Any regulatory investigation, enforcement action, or penalty arising from activities conducted through your Account.
15. Account Suspension and Termination
15.1 Suspension by VestraPay
VestraPay may suspend your Account or restrict access to the Services, with or without prior notice, where:
- We suspect or detect fraudulent, unlawful, or suspicious activity on your Account;
- You have violated any provision of these Terms;
- We are required to do so by Applicable Law, a regulatory directive, or a court order;
- You fail to complete or maintain required KYC documentation;
- Your Account has been inactive for a period exceeding 12 consecutive months; or
- We determine that continued provision of Services poses an unacceptable risk to VestraPay, other Users, or the financial system.
15.2 Termination by You
You may close your Account at any time by submitting a written request to support@vestrapay.com, subject to the following conditions:
- All pending transactions must be completed or cancelled before closure;
- Any outstanding balance in your Wallet will be remitted to your designated bank account, less any applicable Fees, within 10 Business Days;
- We may retain records of your Account and transaction history for the minimum periods required by Applicable Law, notwithstanding closure.
15.3 Termination by VestraPay
VestraPay may terminate your Account upon 30 days' written notice for any reason, or immediately where you have materially breached these Terms, we are required to do so by law, or continued provision of Services would expose VestraPay to legal, regulatory, or reputational risk. Upon termination, any outstanding Wallet balance will be remitted to your registered bank account, subject to Applicable Law.
15.4 Survival
Clauses 7 (Prohibited Conduct), 8 (AML/CFT Compliance), 9 (Intellectual Property), 13 (Limitation of Liability), 14 (Indemnification), 18 (Governing Law), and 19 (Dispute Resolution) shall survive the termination or expiry of these Terms.
16. Third-Party Services and Links
VestraPay may integrate with, or provide links to, third-party services, platforms, or content. Such third-party services are provided solely for your convenience, and VestraPay makes no representations or warranties regarding their quality, accuracy, availability, or compliance with Applicable Law. Your use of any third-party service is subject to the terms and conditions of that third party, and VestraPay shall not be liable for any loss or damage arising from your use thereof.
Where VestraPay engages third-party service providers (including payment processors, KYC vendors, or cloud providers) to support the delivery of our Services, such providers are contractually bound to handle your data and funds in compliance with Applicable Law and VestraPay's standards.
17. Force Majeure
VestraPay shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to:
- Acts of God, natural disasters, or extreme weather events;
- War, civil unrest, terrorism, or government action;
- Nationwide or widespread failure of telecommunications infrastructure, internet connectivity, or power supply;
- Failure or suspension of NIBSS, CBN clearing systems, or interbank payment networks;
- Epidemic, pandemic, or public health emergency declared by a competent authority;
- Regulatory action, court orders, or government directives that prevent VestraPay from operating; or
- Cyberattacks or data breaches affecting critical financial infrastructure.
In the event of a force majeure event, VestraPay will notify you as soon as reasonably practicable and will endeavour to restore Services at the earliest opportunity.
18. Governing Law
These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
Nothing in this clause affects the application of mandatory consumer protection provisions under Nigerian law, including the CBN Consumer Protection Framework and the Federal Competition and Consumer Protection Act 2018 (FCCPA), to the extent applicable.
19. Dispute Resolution
19.1 Internal Complaints Process
If you have a complaint regarding the Services, you must first submit it to VestraPay's customer support team at support@vestrapay.com. We will acknowledge your complaint within 24 hours and aim to resolve it within 5 Business Days, in accordance with the CBN Consumer Protection Framework. For complex complaints, we will notify you of the expected resolution timeline.
19.2 CBN Consumer Protection
If your complaint is not resolved to your satisfaction within the timelines specified, you may escalate it to:

- The CBN's Consumer Complaints Management System (CCMS) at: https://ccms.cbn.gov.ng
19.3 Arbitration
Subject to clauses 19.1 and 19.2, any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, that is not resolved through the internal complaints process shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Mediation Act 2023. The seat of arbitration shall be Lagos, Nigeria. The language of arbitration shall be English. The arbitral tribunal shall consist of a sole arbitrator agreed upon by the parties or, failing agreement, appointed in accordance with the applicable rules.
19.4 Jurisdiction
Each party irrevocably submits to the non-exclusive jurisdiction of the courts of Nigeria for the purpose of enforcing any arbitral award or seeking interim relief, and waives any objection to the exercise of such jurisdiction.
20. General Provisions

| Amendment | VestraPay reserves the right to amend these Terms at any time. Material changes will be notified to you via email or in-app notification at least 14 days before taking effect. Your continued use of the Services following such notice constitutes acceptance of the amended Terms. |
| Severability | If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from these Terms, and the remaining provisions shall continue in full force and effect. |
| Waiver | No failure or delay by VestraPay in exercising any right, power, or remedy under these Terms shall constitute a waiver of that or any other right, power, or remedy. |
| Assignment | You may not assign, transfer, or sub-licence any of your rights or obligations under these Terms without the prior written consent of VestraPay. VestraPay may assign its rights or obligations under these Terms to an affiliate or successor entity in connection with a merger, acquisition, or reorganisation, with notice to you. |
| Relationship | Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, or employment relationship between you and VestraPay. VestraPay acts as a payment service provider only and does not hold or manage funds as a bank or deposit-taking institution. |
| Notices | Notices to VestraPay under these Terms must be sent to support@vestrapay.com. Notices to you will be sent to the email address or phone number registered on your Account and shall be deemed received upon sending. |
| Language | These Terms are drafted in the English language. In the event of a conflict between any translation and the English version, the English version shall prevail. |
